Cervid Sure™ – Terms of Service

1. Acceptance & Modifications

  1. By using the Site you acknowledge that you have read, understand, and accept these Terms.
  2. We may revise these Terms at any time by posting a revised version on the Site. The “Last updated” date above reflects the most recent change. Continued use after revisions constitutes acceptance of the new Terms.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. Companies that apply for the Cervid Sure™ badge must be a legally recognized business entity in the United States (or any other jurisdiction we expressly accept).

3. Program Participation & Badge Use

3.1 Certification Criteria

  • You may display the Cervid Sure™ badge only after your product has passed our independent RT‑QuIC prion‑testing protocol and you have received written confirmation from us.
  • The badge must be used exactly as supplied (size, colors, QR‑code, accompanying URL). See the “Badge Guidelines” page for detailed placement rules.

3.2 No Safety Guarantee

The badge signifies that a product tested negative for detectable prions at the time of analysis; it does not guarantee absolute safety, freedom from contamination after testing, or compliance with any governmental standard.

3.3 Prohibited Uses

  • You may not incorporate the badge into your logo, brand name, or slogan.
  • You may not alter, obscure, or remove the QR‑code or program URL.
  • You may not claim “government endorsement” or imply that the badge is a regulatory approval.

Violations give us the right to suspend or revoke badge rights immediately (see Section 9).

4. Intellectual Property

All logos, graphics, text, and software on the Site—including the Cervid Sure™ name and badge—are our exclusive property or used under license. You may not copy, modify, distribute, or create derivative works without our prior written consent.

5. User‑Generated Content & Contact Forms

When you submit a request via the “Contact” form (name, email, title, message), you grant us a worldwide, royalty‑free licence to use that content for internal business purposes (e.g., responding to your inquiry). You represent that such information is accurate and does not infringe any third‑party rights.

6. Data & Privacy

We collect the following personal data:

  • Name, email address, company name, title (via contact form)
  • Anonymized QR‑code scan analytics (date, time, location, device type)

Our Privacy Policy explains how we store, protect, and share that data. By using the Site you consent to those practices.

7. Disclaimer of Warranties

THE SITE AND ALL INFORMATION, CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability, fitness for a particular purpose, or non‑infringement;
  • Accuracy, completeness, or reliability of any testing results, analytics, or third‑party links.

8. Limitation of Liability

To the maximum extent permitted by law, Cervid Sure, LLC and its affiliates, officers, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, or use;
  • Any claim arising out of or related to your participation in the Program, badge usage, or reliance on any information on the Site.

Our total aggregate liability for any claim shall not exceed USD 5,000 (the amount you paid, if any, for certification).

9. Termination

We may terminate or suspend your access to the Site and/or revoke badge rights at our sole discretion for:

  • Breach of these Terms;
  • Misuse of the badge;
  • Fraudulent or illegal activity; or
  • Any request from a government authority.

Upon termination, you must immediately cease all use of the badge and remove it from any packaging, marketing material, or website.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the federal or state courts located in New Castle County, Delaware.

11. Miscellaneous

  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • Entire Agreement: These Terms constitute the entire agreement between you and Cervid Sure™ regarding your use of the Site and participation in the Program.
